Chief Financial Officer

Role Mandate

The Contracts Manager owns the paper that every sale, project and service job runs on. Because this work commits the company to financial and legal terms, the role reports to the CFO. It covers approved vendor list (AVL) registrations and supplier qualifications with customers, master service agreements (MSAs), our terms and conditions and the review of customer terms, government contracts and their compliance requirements, and service agreements.

You are not a gatekeeper who slows deals down, but a partner to Sales, Systems Solutions and Field Service who gets us registered early, keeps terms simple and safe, and tells the team plainly what a clause means for risk and cash. Nobody signs customer paper without your review.

About Cognesense

Headquartered in Hillside, IL, Cognesense is a worldwide environmental technology company built through the combination of heritage brands, including L&J Technologies, Shand & Jurs, Varec, Sonitus Systems, Petrel, Ex-tech, Pyroban, and Pyropress, that together represent over a century of domain expertise. Under the positioning “Measure. Monitor. Protect.,” Cognesense delivers measurement and instrumentation, safety equipment, automation, and software (including its Clairvoyance and FuelsManager® platforms) to customers in over 100 countries across energy production and storage, chemicals and pharmaceuticals, water and wastewater, aviation fuel, aerospace and defense, food and beverage, and other regulated, high-stakes end markets.

Position Responsibilities

AVL and Registrations
  • Get and keep Cognesense registered on customer vendor lists and procurement portals.
  • Track renewals, certificates, insurance and supplier questionnaires.
MSAs and Terms
  • Own our standard terms and conditions.
  • Review and negotiate customer MSAs and terms, and escalate risk exceptions to the CFO.
  • Keep a register of what we have agreed with each customer.
Government Contracts
  • Review solicitations and identify critical requirements and risks.
  • Manage compliance with FAR, DFARS and other applicable rules, including flow-downs to subcontractors.
  • Handle modifications with the Government Program Managers, and support audits and reviews.
Service Agreements and Subcontracts
  • Write and renew service agreements with the Director of Field Service, and make sure they are billed correctly.
  • Review subcontracts and NDAs.

How We Measure Success

In your first year, great performance looks like this:

Measure What success looks like
Review speed Contracts are reviewed within agreed turnaround times.
Registrations AVL registrations and certificates are always current.
Control No contract is signed without review, and risk exceptions are escalated.
Renewals Service agreements and registrations renew on time.
Compliance Zero compliance findings.
Partner trust Sales, Systems Solutions and Field Service bring Contracts in early and see the role as a partner that helps deals close, not a bottleneck.

Who We Are Looking For

Required Qualifications
  • 5+ years of commercial and government contract management.
  • Working knowledge of FAR and DFARS.
  • Experience negotiating MSAs, terms and conditions and service agreements.
  • Strong organization and record keeping.
Preferred Qualifications
  • Bachelor's degree in Business, Law or a related field, or equivalent experience.
  • Contracts certification.
  • Experience in industrial or defense markets.
  • Experience with supplier registration portals.
  • Comfort using AI tools for clause review and contract tracking.
How You Work
  • You take ownership: you follow every contract, registration and question through to the finish instead of handing it off.
  • You are curious and want to learn, including how AI can take tracking and first-pass review off your desk; you ask questions, take feedback and get better every quarter.
  • You are a team player who helps colleagues, shares credit and makes the people around you faster.
  • You are conscientious, accountable and involved, with a sense of urgency that customers can feel.

How This Role Uses AI

At Cognesense, AI takes on the repetitive work so our people can focus on expertise, relationships, and proactive ownership. In this role, that looks like:

AI handles You own
Compares customer terms with ours and flags differences. You judge the risk and negotiate.
Tracks renewals, certificates and registrations. You keep them current.
Drafts compliance matrices from solicitations. You confirm what we must do.

The result is a contracts partner who spends time on risk and relationships, not on tracking.

Sales Director

Role Mandate

The Channel Manager (Distributor / EPC) is responsible for the routes to market that create coverage and influence beyond our own salespeople: distributors and reps, and the EPC and specification ecosystem. You move the region from distributor coverage to distributor productivity, and you get Cognesense specified before the award.

This is a Tier 3 role reporting to the Sales Director. You own channel development; the Sales Director owns the regional commercial outcome, and the Regional Sales / Business Manager owns each customer relationship. In larger regions, distributor and EPC can be two separate roles under this title.

Position Responsibilities

Distributor Portfolio
  • Segment partners as strategic, growth, specialist, or exit and replace, and build an annual plan for each key partner.
  • Recruit where there is white space, and replace partners who do not perform.
  • Run quarterly partner reviews and measure partners on revenue, pipeline and product breadth.
EPC and Specification
  • Work the target EPC list and map EPC to owner, project, engineering hub and approved vendor list route.
  • Track pre-FEED, FEED, vendor-list and tender activity, and connect each project to the Regional Sales / Business Manager who owns the relationship.
  • Coordinate multi-region projects once, with product leadership validating technical fit before submission.
Enablement and Pricing
  • Onboard and train partners with Technical Sales Engineers and Product Specialists.
  • Maintain channel pricing and programs with the Product Specialists and Product Directors.
One Customer Ownership Model
  • Remove channel conflict with direct sales; every customer has one commercial owner.
  • Keep partner and EPC opportunities current in CRM with owner, stage and next action.

How We Measure Success

In your first year, great performance looks like this:

Measure What success looks like
Channel bookings Bookings through distributors and reps meet or exceed plan.
Partner productivity Key partners grow revenue and product breadth year over year.
Coverage Every territory and priority vertical has an active, trained partner or a plan to add one.
Specification access More EPC projects have Cognesense on the vendor list or specification before award.
Partner quality Under-performing partners are addressed within two quarters.

Who We Are Looking For

Required Qualifications
  • 5+ years managing distributor or rep networks, or EPC and specification sales, for industrial products.
  • Track record of growing channel revenue and recruiting new partners.
  • Experience setting partner goals, running business reviews and managing agreements.
  • Strong commercial sense on channel pricing and discount structures.
  • Willingness to travel across the region (up to about 50%).
Preferred Qualifications
  • Bachelor's degree in Business, Engineering or a technical field.
  • Experience with EPCs, FEED and approved vendor list processes.
  • Experience in instrumentation, safety equipment or environmental monitoring channels.
  • Experience harmonizing partner networks after acquisitions.
  • Comfort using AI tools to manage partner data and performance.

How You Work

  • You take ownership: you follow every quote, order and question through to the finish instead of handing it off.
  • You are curious and want to learn; you ask questions, take feedback and get better every quarter.
  • You are a team player who helps colleagues, shares credit and makes the people around you faster.
  • You are conscientious, accountable and involved, with a sense of urgency that customers can feel.
  • You hold partners to the same standard as our own people: clear goals, real support, honest measurement, and prompt action.

How This Role Uses AI

At Cognesense, AI takes on the repetitive work so our people can focus on expertise, relationships, and proactive ownership. In this role, that looks like:

AI handles You own
Builds partner scorecards from bookings, quote and pipeline data. You run the reviews and decide which partners to grow, fix or replace.
Finds tenders and EPC projects and redlines requirements against Cognesense capability. You decide which to pursue and connect them to the right Regional Sales / Business Manager.
Drafts onboarding packs, program updates and partner communications. You build the relationships that make partners choose to sell Cognesense.
Flags channel conflict and pricing exceptions. You resolve them fairly with the Regional Sales / Business Managers.

The result is a channel leader who spends time with partners, not on spreadsheets.

Our Benefits

We invest in the people who make our work possible. Cognesense operates around the world, including the United States, the United Kingdom and Ireland, and our total rewards package follows local law and market practice in each country. Depending on location and eligibility, it typically includes:

Chief Financial Officer

Role Mandate

The Head of FP&A exists to build Cognesense's financial planning and analysis function from the ground up. You will own consolidated forecasting, a standard KPI framework, and a reporting cadence that serves our private equity sponsor, our lenders, and the leadership team across every business unit. Because acquisitions are a core part of our strategy, you will also lead the financial work behind diligence, deal modeling, and post-close integration.

This is a build role, not a maintenance role. With AI and modern tooling handling data pulls, consolidation, and first-draft reporting, your time goes where it matters: sound judgment, clear recommendations, and trusted partnerships with the CFO, the sponsor, and business unit leaders.

Position Responsibilities

Financial Modeling and Forecasting
  • Build and own the consolidated three-statement operating model across all Cognesense entities.
  • Lead the annual budget and rolling forecast, coordinating inputs from every business unit.
  • Own the rolling 13-week cash flow forecast so leadership always has a reliable view of liquidity.
  • Build scenario and sensitivity models that support strategic and capital allocation decisions.
M&A Diligence and Integration
  • Lead financial diligence on acquisition targets, including revenue quality, EBITDA sustainability, working capital, and capex needs.
  • Build acquisition models and valuation analysis that test deal economics, synergies, and integration costs.
  • Define 100-day integration plans and post-close reporting frameworks, then track execution and flag risks to the sponsor and management.
  • Consolidate acquired businesses into the Cognesense financial model and reporting structure quickly and cleanly.
Board, Sponsor, and Lender Reporting
  • Prepare monthly and quarterly board, sponsor, and lender packages in partnership with the CFO.
  • Translate financial and operating data into clear, decision-ready narratives for leadership.
  • Respond to ad hoc analysis requests from the sponsor and board with speed and precision.
KPIs and Business Partnership
  • Design and maintain a KPI framework that spans all business units and departments.
  • Partner with business unit leaders to define the metrics that matter and hold the line on how they are measured.
  • Spot trends, variances, and emerging risks in operating data before they surface elsewhere.
  • Work with the Controller's team on budget-to-actual variance analysis and consistent reporting practices across entities.
Systems, Tools, and Process
  • Select and implement FP&A tools that replace manual, spreadsheet-based processes.
  • Apply AI and automation to speed up modeling, reporting, and analysis.
  • Partner with the Controller and IT to strengthen reporting from Microsoft Dynamics 365 Business Central.
  • Build documented, repeatable models that do not depend on tribal knowledge.

How We Measure Success

In your first year, great performance looks like this:

Measure What success looks like
Consolidated model in place A single three-statement model covering all entities is live, documented, and used for the budget and rolling forecast.
Forecast accuracy Rolling forecast and 13-week cash flow land within an agreed variance of actuals, and accuracy improves quarter over quarter.
Reporting cadence Board, sponsor, and lender packages are delivered on schedule each month and quarter with no rework requests on accuracy.
KPI framework Standard KPIs are defined with every business unit leader and visible to leadership on shared dashboards.
M&A readiness Each acquisition has a diligence model, integration plan, and post-close tracking, and acquired entities are consolidated into reporting on an agreed timeline.
Manual effort reduced Time spent on manual data gathering and consolidation trends down as tools and AI take over repeatable steps.
Trusted partnership The CFO, sponsor, and business unit leaders rely on FP&A as their first stop for decision support.

Who We Are Looking For

You are an analytically rigorous finance builder who wants to create a function, not inherit one.

Required Qualifications
  • Bachelor's degree in finance, accounting, economics, or a related field.
  • Fluency in three-statement financial modeling.
  • Experience building and owning rolling forecasts, budgets, and 13-week cash flow models.
  • Advanced Excel and financial modeling skills.
  • Strong analytical and communication skills, with confidence presenting to executive leadership and investors.
  • Comfort working across multiple business units in a fast-paced, private equity-backed environment.
Preferred Qualifications
  • Big 4 transaction advisory, valuation, or investment banking experience with M&A exposure.
  • FP&A experience in a multi-entity, private equity-backed business, including diligence, purchase price allocation, and post-close integration.
  • Experience with modern FP&A tools (such as Adaptive, Vena, Prophix, or Datarails) and with Microsoft Dynamics 365 Business Central.
  • Manufacturing or industrial products experience, including government contracts.
  • MBA or progress toward the CFA designation.
How You Work
  • You take ownership of outcomes and build what is missing instead of waiting for it.
  • You earn trust with business leaders by making the numbers useful to them.
  • You hold a high bar for precision and still move fast.
  • You are curious about how AI and automation can remove busywork, and you put them to work.

How This Role Uses AI

At Cognesense, AI takes on the repetitive work so our people can focus on expertise, relationships, and proactive ownership. In this role, that looks like:

AI handles You own
Pulls actuals from Business Central, consolidates entity data, and flags variances against budget and forecast. You explain what drove the variance and what leadership should do about it.
Drafts first versions of board, sponsor, and lender package commentary and charts. You shape the narrative, pressure-test the conclusions, and present them with confidence.
Extracts and normalizes financials from target data rooms and builds first-pass diligence schedules. You judge revenue quality, EBITDA sustainability, and deal risk, and advise the CFO and sponsor.
Refreshes KPI dashboards and runs routine scenario and sensitivity cases. You decide which scenarios matter and partner with business unit leaders on the actions they drive.

You will also help decide where AI and automation go next across the finance function.

Director of Clairvoyance

Role Mandate

The Cloud Architect II owns the AWS architecture behind Clairvoyance, Cognesense's IoT platform, from device connectivity on AWS IoT Core through data ingestion into the lakehouse. You decide how our products are deployed, secured, scaled, and operated in the cloud, and you are the primary point of technical authority on AWS decisions and trade-offs.

The outcome the business needs: the current product runs reliably, securely, and cost-effectively on AWS today, and the next-generation platform is cloud-native from the start, with a security and compliance posture that enterprise and government customers can trust.

Cloud Architecture and Roadmap
  • Own the AWS cloud architecture and roadmap for Clairvoyance, including device connectivity on AWS IoT Core and data ingestion into the lakehouse.
  • Lead the deployment, enhancement, and ongoing operation of the existing product on AWS, including migration and re-platforming, so it performs reliably at scale.
  • Shape the cloud architecture of the next-generation platform so sound cloud-native design is built in from the start, not retrofitted.
  • Act as the primary technical authority on AWS decisions, laying out trade-offs clearly so engineering, product, and leadership can decide with confidence.
Security, Identity, and Compliance
  • Own and evolve landing zones, networking, identity, and security architecture on AWS, aligned to least-privilege and defense-in-depth principles.
  • Set a security and compliance posture appropriate for enterprise and government customers, partnering with Security on controls, audits, and customer requirements.
Automation and Delivery
  • Establish Infrastructure-as-Code, CI/CD, and automated deployment pipelines so every release is repeatable and auditable.
  • Champion an AI-assisted, automation-first approach across cloud delivery and operations, removing manual steps wherever they add risk or delay.
Reliability, Operations, and Cost
  • Own cloud reliability and operations, including observability, monitoring, incident response, backup and disaster recovery, and Well-Architected reviews.
  • Drive cloud cost management and optimization through right-sizing, scaling strategy, and FinOps practices, so spend tracks the value it delivers.
Technical Leadership and Collaboration
  • Provide hands-on technical leadership and mentorship to engineers, raising the team's cloud skills through pairing, guidance, and example.
  • Review designs and implementations against cloud standards, catching risk early and explaining the why behind each standard.
  • Collaborate across engineering, product, and operations so cloud decisions support product goals and customer commitments.

How We Measure Success

In your first year, great performance looks like this:

Measure What success looks like
Platform reliability Clairvoyance cloud services meet agreed availability and performance targets, with incidents detected early and resolved quickly.
Cloud roadmap delivery A documented AWS architecture and roadmap is in place, with migration and re-platforming milestones for the existing product delivered on plan.
Automated, auditable releases Infrastructure is defined as code and production deployments run through automated CI/CD pipelines, with manual changes trending toward zero.
Security and compliance posture Landing zones, identity, and network controls meet least-privilege standards, and enterprise and government customer security reviews pass without major findings.
Cloud cost efficiency Cloud spend is visible by service and product, and cost per unit of workload trends down quarter over quarter.
Resilience Backup and disaster recovery plans are documented and tested, and Well-Architected review findings are tracked to closure.
Team capability and trust Engineers and product partners seek out your guidance, and the team's cloud skills and design quality visibly improve.

Who We Are Looking For

Required qualifications are what you need on day one. On the preferred list, we do not expect any one candidate to have all of them; depth in several is what we are looking for.

Required Qualifications
  • Bachelor's degree in computer science, IT, or a related discipline, with 10+ years of software or infrastructure experience, including significant time as a cloud or solutions architect.
  • Deep, hands-on AWS expertise designing, deploying, and operating production workloads across core services: compute, storage, networking, databases, identity, and security.
  • Proven experience deploying and operating enterprise applications on AWS, including migrating or re-platforming existing applications to the cloud.
  • Background with .NET / C# application environments, with the credibility to architect cloud solutions for, and alongside, product engineering teams.
  • Infrastructure-as-Code expertise (e.g., Terraform, CloudFormation, or CDK) and mature CI/CD practices.
  • Containerization and orchestration on AWS (Docker, ECS and/or EKS).
  • Cloud networking, identity, and security: VPC design, IAM, secrets management, and encryption.
  • Cloud reliability and operations: observability, monitoring, incident response, and backup/disaster recovery.
  • Cloud cost management: right-sizing, scaling strategy, and FinOps discipline.
  • Experience embedding with delivery teams in an Agile environment.
  • Excellent communication skills, with the ability to align engineering, product, security, and leadership around cloud decisions and trade-offs.
Preferred Qualifications
  • AWS & cloud depth: AWS IoT Core experience (MQTT, device provisioning, fleet management) or similar device-telemetry platforms.
  • AWS & cloud depth: high-volume streaming and time-series data on AWS (Kinesis, Lambda, Timestream, or similar).

  • AWS & cloud depth: AWS certifications such as Solutions Architect Professional, DevOps Engineer, or Security Specialty.
  • AWS & cloud depth: AWS Well-Architected Framework reviews and remediation.

  • AWS & cloud depth: event-driven and messaging patterns on AWS and in modern platforms.
  • AWS & cloud depth: DevSecOps and compliance automation, including policy-as-code and security scanning in pipelines.
  • AI-assisted delivery: experience leading AI-assisted, automation-first delivery and operations (e.g., Claude Code, GitHub Copilot, and agentic workflows).
  • Domain & security: industrial / OT domain exposure such as SCADA, IIoT, fuel or bulk-liquids management, or similar.
  • Domain & security: government or regulated-industry cloud experience, such as AWS GovCloud, FedRAMP, or similar compliance regimes.
  • Domain & security: an active IAM Level II (or higher) compliant IA certification, such as CISSP, CASP+ CE, CISM, CCISO, or equivalent per DoD 8570/8140.
  • Domain & security: awareness of OT/industrial security standards (e.g., IEC 62443) and secure-by-design practices.
How You Work
  • You take ownership of the platform end to end and act before problems reach customers.
  • You explain technical trade-offs in plain language and build trust across engineering, product, security, and leadership.
  • You stay hands-on and lift the people around you through mentorship and thoughtful design review.
  • You are curious about AI and automation and look for ways to remove manual work from delivery and operations.

Director of Operations

Role Mandate

The Interim Operations Manager exists to run the Peachtree Corners, GA manufacturing site through its planned consolidation into Hillside, IL. The role does two jobs at once: keep the site building and shipping on schedule, and take it apart in a controlled way so production restarts at Hillside without a gap for customers. You will lead the Atlanta production and site staff and report weekly to the Director of Operations.

The physical move begins November 2, 2026, with first production at Hillside targeted for November 30 and the Atlanta site closed out by December 31. This is a full-time contract engagement starting as soon as possible, ideally before October 30, 2026 to allow overlap, and running through December 31, 2026, with a possible short extension.

Keep Production and Shipments on Track

When keeping the site shipping conflicts with taking it apart, shipping wins until the build-ahead inventory is banked.

  • Run day-to-day manufacturing at the Atlanta site: scheduling, labor, material flow and on-time delivery.
  • Execute a 6+ week build-ahead on top-moving products, banked before teardown starts.
  • Review past-due and Q4 backlog line by line and issue reliable ship dates.
  • Support customer communication through the move window.
  • Drive cross-training so no complex build depends on a single person.
Inventory and Government-Furnished Equipment (GFE)
  • Execute the count, barcode and packing-manifest plan with the Inventory Manager.
  • Keep GFE segregated, labeled and traceable by program and contract, with custody documented through transport.
  • Reconcile moved inventory into Business Central at Hillside.
Quality and Compliance
  • Have site records and procedures ready for the ISO 9001:2015 recertification audit in the week of October 27.
  • Work with Quality to integrate Atlanta procedures into the Hillside quality system.
Teardown, Transport and Recommissioning
  • Sequence equipment teardown so the highest-volume builds run longest.
  • Coordinate riggers, transport and insurance with Purchasing and Facilities.
  • Execute the site decommissioning checklist: utility disconnects, hazmat removal and landlord handback items.
  • Support reinstall and requalification at Hillside through the first production build.
People and Site Close-Out
  • Lead the Atlanta team through the transition, working with HR on retention and exit timing.
  • Capture build knowledge, supplier contacts and undocumented fixes before people leave.
  • Complete the final building walk-through and handback by December 31.
  • Report weekly to the Director of Operations, and join a daily move standup during November.

How We Measure Success

Success is measured against three milestones and a set of ongoing measures through the engagement.

MeasureWhat success looks like
Ready to move (Oct 30, 2026)Build-ahead banked, GFE segregated, rigging and transport booked, ISO audit complete.

  • You document as you go, so knowledge stays with the business after people leave.
  • You use AI and system tools to keep plans current, and spend your own time on the floor and with people.

How This Role Uses AI

At Cognesense, AI takes on the repetitive work so our people can focus on expertise, relationships, and proactive ownership. In this role, that looks like:

AI handlesYou own
Compiles past-due and Q4 backlog reports from Business Central and flags at-risk lines.Reviews each line, sets reliable ship dates, and handles the customer conversations.
